1. AGREEMENT TO TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Jovee LLC, doing business as Soda Time (“Soda Time,” “we,” “us,” or “our”), concerning your access to and use of the sodatime.com website, the Soda Time mobile application (the “App”), and any other media form or channel related thereto (collectively, the “Services”). This Service is intended for individuals who are 18 years of age or older. By using the Service, you confirm that you meet this age requirement.

By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.

2. THE SERVICES

Soda Time provides a mobile-ordering platform for custom beverages and treats. Users can customize drinks, save favorites, and utilize our geo-fenced “Order Ahead” technology. The Services are provided “AS IS” and “AS AVAILABLE.”

3. ELIGIBILITY & REGISTRATION

Account: You may be required to register an account. You agree to keep your password confidential and are responsible for all activities under your account.
Accuracy: You warrant that all registration information you submit is true, accurate, current, and complete.

4. ORDERING AND PAYMENT

Order Finalization: Orders are typically finalized and charged in-store or via the App when you are near a physical Soda Time location.
Pricing: Prices are subject to change without notice and include applicable sales tax.
Payment: We accept major credit cards and mobile payment solutions (e.g., Apple Pay). You represent that you are authorized to use the chosen payment method. You may pay cash in-store.

5. PROMOTIONS AND REWARDS

First Drink Free: Limited to one per new user/device. We reserve the right to cancel this promotion at our discretion if we detect fraudulent activity or multiple account creations.
Rewards Program: Points or rewards have no cash value, are non-transferable, and may be modified or terminated by us at any time.

6. INTELLECTUAL PROPERTY RIGHTS

Unless otherwise indicated, the Services, including source code, databases, website designs, audio, video, text, and graphics (the “Content”) and the trademarks and logos (the “Marks”) are owned or controlled by Jovee LLC.

User License: You are granted a limited, non-exclusive license to access the Services for personal, non-commercial use.
Restrictions: No part of the Services may be copied, reproduced, or exploited for commercial purposes without our express prior written permission.

7. USER CONDUCT AND CONTRIBUTIONS

Users may create and name custom drink recipes (“Contributions”). By making Contributions, you represent that:

Your Contributions do not infringe the intellectual property rights of third parties.
Your Contributions are not offensive, obscene, harassing, or discriminatory.
You grant Soda Time an unrestricted, perpetual, royalty-free, worldwide license to use, host, and display such Contributions (including drink names and recipes) for any purpose.

We reserve the right to remove, rename, or edit any Contributions at our sole discretion.

8. PROHIBITED ACTIVITIES

You may not:

Systematically retrieve data (scraping) to create a database.
Circumvent or disable security-related features of the App.
Engage in unauthorized framing of or linking to the Services.
Attempt to reverse-engineer any of the software comprising the App.
Use the Services for any fraudulent or illegal purposes.

9. SMS MESSAGING TERMS

Program Description

SodaTime may offer SMS messaging programs that send alerts, updates, notifications, promotions, offers, or other communications related to our Services. These may be recurring or one-time messages.

Opt-In Consent

By providing your mobile phone number and opting in via our website, forms, or other approved methods, you consent to receive message(s) from SodaTime. Consent is not a condition of purchase.

Message Frequency & Rates

Message frequency depends on the program you enroll in. Message and data rates may apply from your carrier. SodaTime is not responsible for charges billed by your carrier.

Opt-Out

You may opt out at any time by replying STOP to a message from SodaTime. After opting out, you may receive a final confirmation message but no further messages, except as required for compliance.

Message Use Compliance

Our SMS programs are designed to comply with applicable laws and messaging regulations, including federal and state rules, and carrier/A2P requirements. Message delivery is subject to carrier network availability, and wireless carriers are not liable for delayed, failed, or undelivered messages.

10. TERM AND TERMINATION

These Terms remain in effect while you use the Services. We reserve the right, in our sole discretion and without notice, to deny access to the Services or delete your account for any reason, including breach of these Terms.

11. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN AS-IS BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT GUARANTEE THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. LIMITATIONS OF LIABILITY

IN NO EVENT WILL JOVEE LLC OR OUR DIRECTORS BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. NOTWITHSTANDING ANYTHING TO THE CONTRARY, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO THE CAUSE OF ACTION OR $50.00.

13. INDEMNIFICATION

You agree to defend and indemnify Jovee LLC from and against any loss, damage, or claim (including attorneys’ fees) arising out of: (1) your Contributions; (2) your use of the Services; or (3) your breach of these Terms.

14. GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law: These Terms are governed by the laws of the State of Utah.
Binding Arbitration: Any dispute shall be finally resolved by binding arbitration conducted by the American Arbitration Association (AAA) in Utah, Utah. YOU WAIVE THE RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
Exceptions: Claims regarding intellectual property or unauthorized use/theft may be litigated in the state and federal courts of Utah.

15. PRIVACY

Your use of the Services is subject to our Privacy Policy, available at https://sodatime.com/privacy-policy/, which is incorporated into these Terms.
